Terms of Service

By accessing or using SellMate ("the Service"), operated by SellMate ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

SellMate is an AI-powered sales assistant platform that helps businesses manage and automate customer interactions across social media channels. The Service includes:

• AI-powered intent detection and automated replies to comments and direct messages on Facebook and Instagram
• Product and service catalog management
• Google Calendar integration for appointment booking
• Unified inbox for managing conversations across channels
• Product request tracking and restock notifications
• Analytics and activity dashboards

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unlawful purposes.

4.1 Plans

The Service is offered under the following subscription tiers:

• Free: Limited features with a monthly AI reply cap. No credit card required.
• Growth ($19/month): 1 connected channel, increased AI reply limits, and access to advanced features.
• Pro ($39/month): 2 connected channels, higher AI reply limits, priority support, and all features included.

4.2 Billing

• Paid subscriptions are billed monthly in advance
• Payment is processed securely through our payment provider (Stripe via RevenueCat)
• Prices are in USD and are subject to change with reasonable notice
• You are responsible for any applicable taxes

4.3 Cancellation & Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will revert to the Free tier

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or deceptive content through the AI assistant
• Impersonate another person or entity
• Use the AI to generate harmful, abusive, hateful, or misleading content
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or its infrastructure
• Circumvent usage limits, rate limits, or security measures
• Scrape or collect data from the Service for unauthorized purposes
• Use the Service to compete with SellMate

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account.

The Service integrates with third-party platforms including Facebook, Instagram, and Google Calendar. By connecting these platforms:

• You authorize us to access and interact with your accounts on these platforms as described in our Privacy Policy
• You represent that you have the authority to connect these accounts and grant us the necessary permissions
• You agree to comply with the terms and policies of each connected platform (e.g., Meta Platform Terms, Google API Terms of Service)
• You understand that the availability and functionality of integrations depend on third-party platforms and may change

The Service uses AI to generate replies to customer comments and messages on your behalf. Regarding AI-generated content:

• Accuracy: While we strive for accuracy, AI-generated replies may occasionally contain errors. You are responsible for reviewing and monitoring AI responses.
• Your Responsibility: You are ultimately responsible for all content posted through your connected social media accounts, including AI-generated replies.
• Customization: You can customize the AI's behavior through tone settings, custom instructions, and do/don't rules. These settings affect how the AI generates replies.
• No Guarantee: We do not guarantee that AI-generated replies will result in sales, bookings, or any specific business outcome.

8.1 Our Intellectual Property

The Service, including its design, features, code, AI models, and documentation, is owned by SellMate and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8.2 Your Content

You retain ownership of all content you provide to the Service, including product catalogs, business information, and custom AI instructions. By using the Service, you grant us a limited license to use this content solely for the purpose of providing the Service.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim
• We are not liable for actions taken by AI on your connected social media accounts, including any resulting loss of customers, reputation damage, or business losses

You agree to indemnify, defend, and hold harmless SellMate, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Content posted through your connected accounts (including AI-generated content)
• Your violation of these Terms
• Your violation of any third-party rights or applicable laws

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of material changes. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account data after a reasonable retention period
• Provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, and indemnification)

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SellMate operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if unsuccessful, through binding arbitration or in the courts of competent jurisdiction.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
